These Terms of Service ("Terms") govern your access to and use of 20xstudio.com (the "Site") and the websites, automation, hosting, and growth services offered by 20X Studio ("we," "us," or "our").

By browsing the Site, requesting a free game plan, or purchasing or using our services, you agree to these Terms. If you are accepting on behalf of a business, you represent that you have authority to bind that business. If you do not agree, do not use the Site or our services.

We provide custom websites, hosting, automation, SEO, reputation, content, and related growth systems for local businesses, typically under a written or emailed proposal, order form, or plan summary (together, a "Statement of Work" or "Plan").

Descriptions on the Site (including plan builders and pricing examples) are informational. The specific scope, fees, timeline, and deliverables for your engagement are defined in your Plan. If these Terms conflict with a signed Plan, the Plan controls for that engagement.

You agree to:

• Provide accurate business and contact information and keep it reasonably up to date
• Supply content, access, approvals, and feedback needed for us to deliver on schedule
• Use the Site and our services only for lawful business purposes
• Not attempt to disrupt, reverse engineer, or misuse the Site, your website, or related systems
• Ensure you have rights to materials you provide (logos, photos, copy, customer data, etc.)

Free game plans, mockups, research summaries, and proposals are provided for evaluation only. Unless we agree otherwise in writing, we retain ownership of preliminary concepts and materials. You may not reuse, publish, or hand those materials to another vendor as a build brief without our prior written consent.

A free game plan does not create an obligation for either party to enter a paid engagement.

Fees, billing cadence (one-time, monthly, or otherwise), and any discounts are set out in your Plan. Unless stated otherwise, monthly services renew month-to-month after any introductory period and may be canceled according to the notice terms in your Plan.

Late or failed payments may result in suspension of hosting, support, or other services until the account is current. You remain responsible for fees incurred before cancellation takes effect.

Where we offer a satisfaction or money-back guarantee (for example a 90-day promise), the specific eligibility, timing, and process in your Plan or guarantee description control.

Site content. The Site, including its design, copy, branding, and software, is owned by 20X Studio or our licensors and is protected by intellectual property laws. You may not copy or reuse Site materials except as needed to evaluate or use our services.

Client deliverables. Subject to full payment and your Plan, you typically own the final custom website content and design created specifically for you. We retain ownership of our pre-existing tools, frameworks, templates, automation recipes, know-how, and non-client-specific components, and grant you a license to use them as part of the delivered solution while you remain a customer (or as otherwise stated in your Plan).

Portfolio. Unless you ask us in writing not to, we may reference your business name and publicly visible website work in our portfolio and marketing.

Our services may integrate with or rely on third-party products (hosting providers, analytics, CRMs, email, maps, payment processors, and similar). Those products are governed by their own terms and privacy policies. We are not responsible for outages, policy changes, or acts of third parties outside our reasonable control.

THE SITE AND OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee specific business results (including rankings, leads, revenue, or call volume). Marketing and growth outcomes depend on many factors outside our control, including your market, offers, operations, and follow-through.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 20X STUDIO AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM THE SITE OR SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE OR A PAID ENGAGEMENT WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY (OR, IF NONE, ONE HUNDRED U.S. DOLLARS).

You agree to defend and indemnify 20X Studio against claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your misuse of the Site or services, your violation of these Terms, or your infringement of someone else's rights.

We may update, suspend, or discontinue any part of the Site at any time. We are not liable for downtime or unavailability. You may not use the Site to spam, scrape at abusive volumes, probe for vulnerabilities without authorization, or interfere with other users.

How we collect and use personal information is described in our Privacy Policy. By using the Site or submitting forms, you also acknowledge that policy.

These Terms are governed by the laws of the United States, without regard to conflict-of-law rules, except where your Plan specifies a different governing law. Any dispute arising from these Terms or the Site will be resolved in the state or federal courts located where 20X Studio principally operates, unless applicable law requires otherwise.

We may update these Terms from time to time. The "Last updated" date at the top of this page will change when we do. Continued use of the Site after an update means you accept the revised Terms. For material changes affecting an active paid Plan, we will honor the Terms (or Plan terms) in effect when that Plan was accepted unless we notify you otherwise.
